Terms of Service

Agreement

These terms are an agreement between you and Engram Dynamics LLC. By using Engram CaaS, you accept them. If you are using the service for an organization, you accept them on that organization's behalf.

The service

Engram CaaS is a hosted platform where you connect or upload your documents into a private workspace, we read each document once into the model's memory, and we answer your questions from that memory. The service is in an invite-only beta, so features may change as we develop it.

Your account

You are responsible for your account and for keeping your credentials secure. Tell us promptly if you believe your account has been used without your permission.

Your content

You own your content. You keep all rights to the documents you upload or connect. You grant us a limited license to host and process your content solely to provide the service to you, and for nothing else. You confirm that you have the rights to the content you upload or connect and that using it with the service does not break any agreement or law.

Connected sources

When you connect a source such as Google Drive or SharePoint, that provider's own terms still apply to your use of it. We access only the files and folders you select, and you can disconnect anytime, which removes the stored access.

Acceptable use

Use the service responsibly. Do not upload or generate unlawful content, do not abuse, probe, or resell the service, and do not infringe anyone else's rights.

AI-generated answers

Answers are generated from your documents and can be wrong or incomplete. Verify them before relying on them. They are not legal, financial, medical, or other professional advice.

Fees

During the beta, pricing is as agreed with you in writing. When the beta ends, our published pricing applies.

Our intellectual property

The platform, including its software, models, and design, is ours and stays ours. If you send us feedback, we may use it to improve the service without any obligation to you.

Termination

Either side may end this agreement at any time. On your request, we delete your workspace content.

Disclaimers and limitation of liability

During the beta the service is provided as is, without warranties. To the extent the law allows, our total liability for any claim is capped at the amounts you paid us in the twelve months before the claim, and we are not liable for indirect or consequential damages.

Governing law

These terms are governed by the laws of the State of Ohio, and any dispute will be handled in the courts located in Ohio.

Changes to these terms

We may update these terms as the service develops. When we do, we will change the effective date above and, for material changes, let account holders know.
